COVID-19: Schemes of Arrangement: temporary stamp duty measures & Companies House filing requirements
On 1 April 2020 Companies House published guidance on filing court orders sanctioning schemes of arrangement to reflect the electronic service introduced by HMRC to temporarily replace their usual stamp duty process.
Companies House states that it will accept and register such court orders which are accompanied by either:
- A letter from HMRC confirming that the correct duty has been paid.
- A letter from HMRC confirming that no duty is payable.
It adds that the letter will not appear on the public register.
